1. Agreement to Terms

5. Fees and Payment

5.1 Pricing

All prices quoted are exclusive of taxes unless otherwise stated. You are responsible for all applicable taxes, duties, and other governmental charges.

5.2 Payment Terms

Payment terms will be specified in the applicable Service Agreement or invoice. Unless otherwise agreed, payment is due within thirty (30) days of the invoice date.

5.3 Late Payment

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for overdue accounts.

6. Confidentiality

Both parties acknowledge that they may receive confidential information from the other party during the course of business. Each party agrees to:

• Maintain the confidentiality of such information
• Not disclose such information to third parties without prior written consent
• Use such information only for the purposes intended by the disclosure
• Protect such information with the same degree of care used to protect their own confidential information

This obligation shall survive termination of any agreement between the parties for a period of five (5) years.

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that our services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards. Any specific warranties for deliverables will be stated in the applicable Service Agreement.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR ANY SERVICE AGREEMENT, ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YINANNA, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9. Indemnification

You agree to defend, indemnify, and hold harmless Yinanna and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Termination

10.1 Termination by You

You may terminate your use of the Services at any time by ceasing to use our website and services.

10.2 Termination by Us

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
